OUTCOME OF THE DONS TRUST SGM ONE VOTES 
The Dons Trust board thanks every member who participated in these votes. The turnout represents the largest democratic exercise in the history of the Dons Trust.
Resolutions 1 (50.01% Majority Ownership) and 2 (New Constitution) were Class A Restricted Actions, requiring the following thresholds to be met before they can progress to a second vote:
• Turnout: Over 50% of the total membership must cast a vote.
• Majority: Over 75% of votes cast must be in favour.
• Quorum: Votes in favour must represent over 40% of the total membership.
All three thresholds were met for both resolutions.
Resolution 1: 50.01% Majority Ownership
• For: 4,201 (92.35%)
• Against: 348 (7.65%)
• Registered Abstentions: 104
• Total Turnout: 4,549 (60.54% of total membership)
• Votes in favour as a share of total membership: 55.91%
This resolution met all three thresholds and will proceed to the second vote.
Resolution 2: New Constitution
• For: 4,153 (93.58%)
• Against: 285 (6.42%)
• Registered Abstentions: 208
• Total Turnout: 4,438 (59.06% of total membership)
• Votes in favour as a share of total membership: 55.27%
This resolution met all three thresholds and will proceed to the second vote.
Resolution 3: Lifting the 15% Maximum Minority Shareholding Limit
• For: 4,007 (90.78%)
• Against: 407 (9.22%)
• Registered Abstentions: 229
• Total Turnout: 4,414 (58.74% of total membership)
This resolution did not require a second vote and has successfully passed. The Dons Trust Board will support the amendment at the next AFCW PLC SGM (date to be confirmed).
SECOND SGM — WEDNESDAY 8TH APRIL
Resolutions 1 and 2 will now proceed to the confirmatory vote at the second SGM on Wednesday 8th April. At this meeting, both resolutions require a turnout of 50% of total membership and a two-thirds majority of votes cast.
Online proxy submission closes at 7pm on Monday 6th April.

TECHNICAL ISSUES — ONLINE ACCESS TO LAST NIGHT’S MEETING
We want to address the technical difficulties that affected last night’s online stream, and to reassure you about the validity of the result.
We are sorry. A number of members trying to follow the meeting online experienced problems, and we know how frustrating that was. We paused the meeting several times in an attempt to resolve the issues, but problems persisted for some viewers and we recognise that was not good enough.
WHAT HAPPENED AND WHO WAS AFFECTED
Around 50 members had registered to watch the meeting via Zoom and cast their vote online. We know that some of those members experienced difficulties. In addition, over 500 supporters followed along through the club app — though as those members had not registered to vote online, their viewing experience did not affect the voting process.
For the registered online voters, the position is as follows:
• Many of those registered to vote online were able to do so without issue, and those votes have been counted.
• If you were registered but unable to vote online, and had submitted a proxy vote before the meeting, your proxy stands and has been counted in full.
• If you voted online during the meeting, your online vote counts and your proxy was disregarded, in accordance with the advertised procedure.
THE RESULT WAS NOT IMPACTED
We want to be transparent: given the overwhelming margin of the vote, we are confident that the small number of members who may have been unable to cast their vote online could not have changed the outcome.
We recognise that is cold comfort to anyone whose experience fell short of what they deserved, and we do not take it lightly. Every member’s vote matters, and we are committed to ensuring our systems are robust enough to reflect that in future.
We will be working closely with the club to understand exactly what went wrong and to fix it before the second SGM on Wednesday 8th April. We are working to make sure members can watch the meeting back online and will update on that as soon as possible.
